These terms of use (“Terms”) govern your access to and use of https://panamagulf.com (the “Site”), operated by PanamaGulf (“PanamaGulf,” “we,” “us”). Please read them with our privacy policy, which explains how we handle personal information.

Acceptance of these terms

By accessing or using the Site, you agree to these Terms. If you don’t agree, please don’t use the Site. If you use the Site on behalf of a company, you confirm that you have authority to accept these Terms for that company.

What the site is for

The Site provides information about our web and software development services. It is intended for business use. Content on the Site is for general information only and is not professional advice for your particular situation.

No client relationship or contract

Using the Site, contacting us, booking a call or submitting an inquiry does not create a client relationship, a contract or any obligation for either of us. Any engagement with PanamaGulf is governed by a separate written agreement that we both sign. Until then, neither of us is bound to start or complete any project. We may decline an inquiry for any reason.

Please don’t send us confidential or proprietary information through the contact form before we have agreed in writing how it will be protected.

Pricing and estimates

Any cost ranges, budgets or estimates on the Site, including in our articles, are general information only. They are not offers, quotes or guarantees. The price of a project depends on its scope, timeline and requirements, and is set only in a written quote or agreement that we provide.

Intellectual property

The Site and its content, including text, graphics, layout, code and the PanamaGulf name and mark, are owned by us or our licensors and are protected by intellectual property laws. Except as these Terms allow, you may not copy, modify, distribute or create derivative works from them without our written permission. These Terms do not give you any right to use the PanamaGulf name or mark.

You may quote short excerpts of our insights content, provided that you credit PanamaGulf as the source and include a link back to the original page on the Site. You may not republish the full text of an article or present our content as your own.

If you send us feedback or suggestions, you grant us a non-exclusive, royalty-free right to use them without obligation to you.

Acceptable use

When using the Site, you agree not to:

  • use it for any unlawful, fraudulent or harmful purpose
  • scrape, crawl or otherwise access it in a way that harms, overloads or disrupts the Site or its hosting
  • probe, scan or test the security of the Site or its infrastructure without our written permission
  • try to gain unauthorized access to the Site, our systems or other users’ information
  • introduce malware or other harmful code
  • submit false, misleading or abusive information through the contact form, or use the form to send spam
  • attempt to bypass the bot check or other protective measures

If you believe you have found a security issue, please email us at hello@panamagulf.com instead of testing it further. We may suspend or restrict access to the Site if we reasonably believe you have broken these Terms.

Site availability and accuracy

We work to keep the Site available and its content accurate, but we may change, suspend or discontinue any part of it at any time without notice. Information on the Site, including descriptions of services, timelines and case examples, may be out of date or incomplete. Please confirm anything important with us in writing before relying on it when making a business decision.

The Site links to and uses services operated by others. For example, “Book a call” opens a Google Calendar appointment page, and our contact form uses Cloudflare Turnstile as a bot check. Those services are run by third parties under their own terms and privacy policies. We don’t control them and aren’t responsible for their content, availability or practices. Your use of them is at your own risk, and a link is not an endorsement.

Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE CONTENT IS ACCURATE, COMPLETE OR CURRENT.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PANAMAGULF AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US $100).

Some jurisdictions don’t allow certain limitations, so parts of this section may not apply to you. These limits apply only to your use of the Site. Services we provide under a separate written agreement are governed by that agreement.

Indemnity

You agree to defend, indemnify and hold harmless PanamaGulf and its owners, officers, employees, contractors and agents from any claims, damages, losses, liabilities and expenses, including reasonable attorneys’ fees, arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or third party’s rights. We may take over the defense of any matter that is subject to indemnification, and you agree to cooperate with us.

Governing law and venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You and we agree that any legal action will be brought exclusively in the state or federal courts located in or serving Bay County, Florida, and you consent to the personal jurisdiction of those courts.

Severability

If a court finds any part of these Terms unenforceable, that part will be enforced to the maximum extent permitted, and the remaining provisions will stay in full effect. If we don’t enforce a provision, that doesn’t waive our right to enforce it later.

Changes to these terms

We may update these Terms from time to time. We will post the updated version on this page and change the updated date shown at the top. Your continued use of the Site after an update means you accept the revised Terms. If you don’t agree to the changes, please stop using the Site.
